1. Overview

These Terms of Service (“Terms”) govern your access to and use of the website operated by Elvru Technologies Inc. (“Elvru”, “we”, “us”, or “our”), as well as any services provided by Elvru.

By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree, you should not use our website or services.

2. About Elvru

Elvru Technologies Inc. is a corporation registered in Alberta, Canada. We provide operational CRM infrastructure services including:

  • CRM architecture and configuration

  • Automation workflow design

  • Messaging enablement (SMS, email, WhatsApp, where applicable)

  • Ongoing infrastructure management delivered through a subscription model

All services are subject to formal agreements executed during onboarding.

3. Website Use

You agree to use this website only for lawful purposes.

You may not:

  • Attempt to gain unauthorized access to systems

  • Interfere with website functionality

  • Use the website for fraudulent or unlawful purposes

  • Reproduce or copy content without permission

We reserve the right to restrict or terminate access for misuse.

4. Service Engagement

Engagements for operational infrastructure services are governed by a formal Master Services Agreement (MSA) and Order Form executed between Elvru and the client.

These Terms apply in addition to, but do not replace, those agreements.

5. Pricing & Payment

Elvru services typically include:

  • A one-time setup engagement

  • A recurring monthly infrastructure subscription

  • Optional add-on services

Specific pricing and commercial terms are defined in an executed Order Form.

Unless otherwise stated in writing:

  • Setup fees are non-refundable

  • Subscription fees are billed in advance

  • Subscription fees are non-refundable for partial service periods

  • A minimum initial commitment may apply

6. Messaging & Compliance

Where messaging services (SMS, email, WhatsApp) are enabled:

Clients are solely responsible for:

  • Obtaining lawful consent

  • Maintaining accurate contact records

  • Complying with applicable anti-spam and privacy laws

Elvru configures systems but does not independently verify client consent records.

We reserve the right to suspend messaging functionality if regulatory or reputational risk is identified.

7. Intellectual Property

All website content, branding, and proprietary system configurations remain the property of Elvru Technologies Inc.

Clients retain ownership of their business data and content provided to Elvru.

System architecture, automation frameworks, and underlying configurations remain the intellectual property of Elvru unless otherwise agreed in writing.

8. Disclaimer of Warranties

Services and website content are provided on an “as is” and “as available” basis.

Elvru does not guarantee:

  • Specific business outcomes

  • Revenue results

  • Uninterrupted service availability

  • Message deliverability

To the maximum extent permitted by law, all implied warranties are disclaimed.

9. Limitation of Liability

To the fullest extent permitted by law, Elvru shall not be liable for indirect, incidental, consequential, or lost profit damages arising from use of the website or services.

Service-related liability is governed by the executed Master Services Agreement.

10. Termination

We reserve the right to suspend or terminate access to services or website functionality for violations of these Terms or applicable policies.

Termination of services is governed by the applicable Order Form and Master Services Agreement.

11. Third-Party Services

Elvru may utilize third-party infrastructure providers including CRM systems, telecommunications providers, hosting providers, and payment processors.

We are not responsible for outages or service interruptions caused by third-party providers.

12. Privacy

Our collection and handling of personal information is governed by our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time.

Continued use of the website or services after updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Alberta and applicable federal laws of Canada.
